Global Scouting Group – Terms & Conditions
- These Terms & Conditions (“Terms”) govern the provision of recruitment and talent acquisition services (“Services”) by Global Scouting Group LLC (“Global Scouting Group,” “we,” or “us”) to any client company (“Client”). By engaging Global Scouting Group for recruitment services, the Client agrees to these Terms.
- Scope of Services
- Global Scouting Group identifies, evaluates, and presents qualified candidates (“Candidates”) for employment opportunities based on job descriptions and requirements provided by the Client. The Client is responsible for final hiring decisions and for verifying any credentials, certifications, or qualifications of Candidates.
- Placement Fees
- The Client agrees to pay a placement fee in an amount mutually agreed upon by both parties prior to the commencement of recruitment efforts.
- – The fee becomes payable on the Candidate’s start date.
- – Invoices are due within 30 calendar days unless otherwise mutually agreed in writing.
- Placement fees apply to full-time, part-time, contract-to-hire, or direct-hire placements unless otherwise agreed in writing.
- Replacement Guarantee
- If a Candidate resigns or is terminated within a mutually agreed‑upon warranty period, Global Scouting Group will provide a qualified replacement candidate at no additional cost. The warranty duration and terms will be confirmed in writing before any search begins.
- This guarantee does not apply if:
- – The Client has unpaid invoices,
- – The role or responsibilities materially change,
- – The Client terminates the Candidate due to layoffs, restructuring, or position elimination.
- Candidate Ownership
- If a Client hires a Candidate introduced by Global Scouting Group within 12 months of the initial introduction—regardless of position, department, or application source—a placement fee will apply. “Introduction” includes presentation of any candidate information, resume, or profile by Global Scouting Group.
- Confidentiality
- Both Global Scouting Group and the Client agree to protect all confidential information exchanged during the engagement, including candidate data, business strategies, and proprietary materials. Confidential information may not be disclosed to any third party unless required by law.
- Term & Termination
- These Terms apply from the date the Client engages Global Scouting Group and continue until the Services are completed.
- – Either party may terminate the engagement with 30 days’ written notice.
- – Any outstanding obligations, including placement fees, confidentiality, and candidate ownership rights, remain in effect after termination.
- – Agreements renew automatically for ongoing services unless the Client provides written notice of discontinuation.
- Independent Contractor Relationship
- Global Scouting Group operates as an independent contractor. These Terms do not create a partnership, joint venture, employment relationship, or agency relationship beyond the scope of candidate recruitment services.
- Governing Law
- These Terms are governed by the laws of the State of New Jersey, USA, without regard to conflict-of-law principles.
- Entire Terms
- These Terms represent the full understanding between the Client and Global Scouting Group regarding public, non-contractual service expectations. Any customized contracts or amendments must be agreed to in writing.
- Payment Policies
- Invoice Issuance: Issued upon the Candidate’s confirmed start date.
- Payment Deadline: Due within 30 calendar days.
- Late Payments: 1.5% monthly interest may apply.
- Payment Methods: ACH, wire transfer, or check.
- Billing Disputes: Must be submitted within 10 business days.
- No Refunds: Placement fees are non-refundable.
- Dispute Resolution
- Good Faith Effort: Both parties agree to attempt informal resolution first.
- Mediation: If unresolved, disputes will be submitted to mediation in the state where Global Scouting Group is headquartered.
- Jurisdiction: Any legal action will be brought exclusively in New Jersey courts.
- Attorneys’ Fees: The prevailing party may recover legal fees and costs.
- Acceptance of Terms
- By requesting or using Global Scouting Group’s recruitment services, the Client acknowledges and agrees to these Terms & Conditions.
